Today, I am pleased to announce that we have signed a definitive agreement
to acquire Magma Design Automation.
Why did we acquire Magma? The rapidly accelerating complexity in
semiconductor designs demands that we deliver great EDA technology faster
than ever before. Combining the technology, development, and support
capabilities of Synopsys and Magma will allow us to more rapidly develop
the tools our customers need.
While the transaction is subject to the approval of Magma shareholders,
regulatory bodies and certain other customary closing conditions, we
anticipate the closing to occur in the second calendar quarter of 2012.
Please keep in mind that until the acquisition is closed, we must continue
to operate as two separate companies. This means that organizational and
technology decisions cannot be finalized until after the close. We ask
that employees refrain from speculating about the acquisition as we work
to address customary and regulatory closing conditions.
