Subject: And 46 percent of EDA RIVALS see Synopsys-Ciranova as BAD

MERCY KILLING:  While some rival vendors laughed because Ciranova dying had
somehow "proved" that PyCells and iPDK were a puppet scheme by SNPS to break
the CDNS Virtuoso monopoly, most (46%) thought it's BAD to have yet another
EDA company disappear.

For 13 rival EDA vendors:

      "This Cirnova-Synopsys merger is (choose one) GOOD news,
       BAD news, NEUTRAL news for my company because (say why):"

       GOOD: ############### 31%
        BAD: ####################### 46%
    NEUTRAL: ########### 23%

Other rival vendors had concerns about a start-up taking in $30 million in
VC funding going out for $8 million -- thus hurting the EDA VC climate.

  BAD news.  Synopsys paid $8 M for Ciranova.  They owed $27.5 to the
  VC's after 5 rounds of funding.  VC's need to see positive returns
  from EDA or they won't invest in it.

         ----    ----    ----    ----    ----    ----   ----

  Neutral.

  Ciranova sold for $8 Million.  It got $30 M in funding (including a
  recent $3 M bridge fund and a restart after $16 M.)

  The problem is Ciranova only really had one real customer, Intel,
  and that was for their Helix analog placer.  Their analog placer is
  more of a technology than a product and required a lot of AE support
  to get up.

  The Ciranova analog placer will be useful with SpringSoft, but
  SpringSoft doesn’t have much of an analog presence, beyond their
  $15 M Laker digital custom footprint.  SpringSoft has a physical
  presence but not a SPICE cockpit.

  The PDK tool only had marginal revenue but it is strategic technology
  for Synopsys to compete with Cadence.

  Good.

  We have been telling our customers that IPL was not a neutral format,
  it benefits Synopsys.  The acquisition proved us right.  Our customers
  will now understand that PyCells belong to Synopsys.

  BAD news.

  Synopsys controlling PyCells leaves a lot of uncertainty how this
  will remain a critical piece of the iPDK open standard.

  GOOD News.

  Not sure if they had a real business.  Keeps Ciranova's technology
  alive and available.  They have two patents assigned to them.

  GOOD news, Ciranova could not survive as an independent company.

  NEUTRAL, almost changes nothing, IMO.

  Bad news: there is a rapid decrease in total number of EDA companies,
  so the rate of innovation will stagnate.  This will continue until
  the user community hits some type of barrier, and then they will be
  either forced to fund start-ups, or internal EDA development.

  Intel and IBM are the only strategic companies with a considerable
  EDA investment, the others will be hosed if an internal technology
  helps them get 14 nm product to market faster.  In particular
  Samsung, TSMC could be behind the eight ball.

  Good: Cadence had the monopoly for too long.  Competition is good
  in this domain.

  It's a BAD news because of one less independent EDA company, which
  may make the EDA world less diverse.

  BAD news.  One less independent EDA vendor usually leads to less
  diversity and innovation in the EDA world.

  Good news.  Because it proves that real EDA development and innovation
  doesn't happen at the Big Three.  It proves that start-ups make the
  value and keeps the ecosystem alive.

  Neutral.

  Because it will take some time for them to establish themselves as
  part of Synopsys.

  GOOD.  It is more powerful than ever for SNPS SoC integration.
