Subject: Mentor employees

HELL NO, WE WON'T GO! -- Other than one surprize Mentor employee who felt
her position would be safe post-merger, all of the Mentor employees were
hostile to the idea of being forcibly joined with Cadence.

  2.) As an EDA VENDOR what did you think of this move by Mike Fister?

  Bad thing.  For the end user, competition is always better.  The more
  EDA companies that compete the better products we will have, the
  better features and enhancements... etc.

  This looks like CDNS knows Mentor is becoming stronger and is taking over
  their market shares.  However, it seems that they don't want to pay much!

  The price they offered is an undervalue to Mentor's real value.  They
  chose the timing when the stocks are not doing very well, then said we
  are offering 30% over!!!

  I think it is a very gutsy move by Mike Fister.  However, it may not be as
  well thought through as I would expect.  There is significant overlap in
  product areas, and this may cause some very good technology to be shelved
  or lost.  I think this merger would be a short term win for shareholders,
  but a big loser for the customers that rely on the products of Mentor.

  Too much product overlap to yield any significant benefits from the PCB
  perspective.  The CDNS router (CCT) has been their only strength to date
  and this lead to continue is questionable in light of Mentor's XE flow
  and its incorporating the RE routing technology.  In addition, recent
  CDNS reorgs have weakened their field presence and thus support among
  their customer base as well.  Part of the impetus to merge could be
  driven by desire to acquire our proven sales/AE force.

  No!  They are reaping what they have sown in that any claimed strengths
  are veneer thin due to past poor decisions regarding PCB development
  decisions and field reorgs that emphasized cost savings over effective
  customer support.  Just go ask a CDN customer!

  The bid appears to be one driven truly by desperation.

  I'm sure Mike Fister will give Mentor the nurturing and support Cadence
  gives other acquisitions. OrCAD comes to mind.

  Mike must be concerned about the negative move of the Cadence revenues
  and is trying to increase the revenues by the most aggressive acquisition
  possible.  The move will remove the competitive nature of the present
  situation.

  Mentor has better technology and is able to innovate better than Cadence.
  The merger would cost Cadence $1.6 B and only add $400 M to Cadence
  revenues.  Mentor works hard to hold to its core values by doing business
  in a very ethical way and treating the employees well.  I believe this
  Cadence has a different model.

  Finally the confusion internally and externally that the merger would
  discourage employees and customers and may cause an exodus to other
  employers by the best and the brightest.

  Perhaps Mike should innovate his way to growth rather than destroy
  Mentor's path to future success.

  Desperation.  I think this is a strange move.  Not much synergy between
  the two.  I can't see how the final outcome could be positive because
  the difference in culture is huge.  But I don't think Mike cares about
  culture or happiness of the workforce.  I have worked at both companies
  and Mentor is a MUCH better place to work.  Mike would ruin the
  enthusiasm and sense of personal responsibility Mentor employees have,
  which I feel is the basis for Mentor's success.

  I work for Mentor.  I love the company.  I'd hate to see what Cadence
  would do to it ... judging by past history.

  As a developer with Mentor in the [ Group Name Deleted ] I feel that my
  job might be secure, but still I'll be apprehensive.  Now suppose that
  my job is secured, I think Cadence marketing will add a lot of value to
  our tool and its penetration might see a good increase.  Given that
  Mentor and Cadence can be a force in the EDA industry to recon with,
  going forward I think our competition will get weaker and weaker.

  It's a very good move given the financial crunch that this EDA industry
  is going thru, partly because of the bad shape of the silicon industry
  and partly because of competition among various EDA vendors.
