Subject: Questions for Rajeev Madhavan, CEO of Magma

Rajeev, Motley Fool called Cadence "the worst stock in the world" a few
weeks ago and pretty much slammed the entire industry as an unreliable
investment. Considering that the semiconductor and IC equipment
industries are not doing very well, how many years do you think it will
be, and what management changes will have to take place before EDA is
seen as a valuable industry again?

         ---- ---- ---- ---- ---- ---- ----

To Rajeev

How much profit did Magma make since the beginning of Magma?
How much VC money was put into Magma?

Now compare.

         ---- ---- ---- ---- ---- ---- ----

Rajeev made a statement that he wants Magma's market cap to cross
$10 billion by 2010... How does he plan to do this in a dying SW
space?

         ---- ---- ---- ---- ---- ---- ----

To Rajeev: Was your SVP, of sales, Saied let go or he wanted to leave
on his own?

         ---- ---- ---- ---- ---- ---- ----

Question for Rajeev: Why don't you ever participate in EDAC's annual CEO
forecast panel? Are you not invited or are you simply blowing them off?

         ---- ---- ---- ---- ---- ---- ----

My question is to Rajeev Madhavan - CEO of Magma

Talus today is unstable and takes more time than Blast 5.X versions and
a debatable QOR improvement. Was Magma's idea of dropping "Gain Based
Synthesis" and moving from Super-Cell to Hyper-Cell model because of
Synopsys lawsuit?

         ---- ---- ---- ---- ---- ---- ----

Question to Magma. Does their Talus-ATPG product line has any plan to
support scan compression netlist generated from Synopsys or Mentor?

         ---- ---- ---- ---- ---- ---- ----

Rajeev Madhavan - CEO of Magma

Is your announcement of Talus qDRC an admission that your foray into
sign-off with Quartz unsuccessful?

         ---- ---- ---- ---- ---- ---- ----

Rajeev: Broadcom is one of Magma's highest profile customers. Yet,
ATopTech announced that they signed a multi-million dollar per year
deal with them. Isn't that quite an embarrassment for Magma?
Is ATopTech lying?

         ---- ---- ---- ---- ---- ---- ----

Ask the Magma guy:

Talus seems like an extension to Blast. Still we must use PrimeTime
and Calibre for signoff of chips. Should you step into the signoff
arena?

         ---- ---- ---- ---- ---- ---- ----

I have a question for Rajeev Madhavan - CEO of Magma:

The clocktree is responsible for about 30% of the overall power
consumtion of our chip. We use excessive clock gating to reduce
power. During clocktree synthesis, the Magma tool is not aware
about any activity information, like VCD simulation results,
your tool just takes timing into account. Therefore your tool
is not able to optimize for a power saving clocktree.

There are some companies around, like Azurro with Powercentric,
just specializing on clocktree synthesis.

What is the plan inside Magma to reduce power for the clocktree?

         ---- ---- ---- ---- ---- ---- ----

Rajeev - Why doesn't your Fast SPICE tool Fine Sim Pro co-simulate
with an HDL sim like all of the other Fast SPICE competitor tools?

         ---- ---- ---- ---- ---- ---- ----

Rajeev: My take on the outcome of the LAVA-SNPS legal mess was
essentially, "Yeah, we stole it, but because of a cross-licensing
agreement, we got away with it." What do you say to customers and
partners to try to give them the impression you're not a dirty,
cheating, lowdown scumbag?

...and then following whatever non-answer he gives...

Rajeev: So because you got away with it, it's okay?

         ---- ---- ---- ---- ---- ---- ----

Increasingly we need to target lower power. It seems that the synthesis
tool don't address architectures that are more geared towards achieving
lower power. What is Synopsys, Magma and Candence doing to allow power
reduction of at least 20% to 25%?

         ---- ---- ---- ---- ---- ---- ----

Ask Rajeev and Paul to describe the analog design market landscape
5 years from now.

         ---- ---- ---- ---- ---- ---- ----

Question to Rajeev Madhavan - Magma

There are some words around about Magma 'CD Business Unit' on the Analog
area, as well as some supposedly new important announcements on the
re-target / porting area of analog design, with a so called Titan
platform: what exactly is this all about and how further advanced is the
development of such tools / environment? Or is this more like a
marketing 'propaganda'?

         ---- ---- ---- ---- ---- ---- ----

Questions to Rajeev Madhavan - Magma:

1. Does Blast support CCS timing or just takes the NLDM data from it?
2. Does Talus support CCS noise?
3. Which of Magma tools currently supports UPF?

         ---- ---- ---- ---- ---- ---- ----

What is happening with INCREMENTAL Quartz verification? You promised to
develop this after DAC 2007, what is the status?

         ---- ---- ---- ---- ---- ---- ----

Magma bought Accelicon AVP software, obviously to build a full custom
environment. What is the status of this, do we get a CADENCE Virtuoso
competitor or not?

         ---- ---- ---- ---- ---- ---- ----

For years and years, John, you've asked the question "Wally, when are
you going to buy Magma?"

Well now, Magma is really big, and Mentor's stock is really low, so...

Rajeev; When are you going to buy Mentor?

         ---- ---- ---- ---- ---- ---- ----

Here's one for Rajeev:

You know that Magma does not provide best in class technology across all
tool categories, so why are you so resistant to integrating your tools
with other EDA companies? Don't you think that Magma's fortunes and
reputation would benefit more from serving customers needs and desires
than from trying to isolate itself in proprietary flows?

         ---- ---- ---- ---- ---- ---- ----

I have a question for Rajeev Madhavan... How long does he expect Magma
to survive in this cut-throat competition? How and what's the future
road map? Does he have a roadmap planned out for next 10 years at
least? Tech industry is cutting jobs, how does he keep his employees
motivated and innovative?
